Welcome to the site Zemach Israpet At: zipet.co.il ("the website").
The site is operated and managed by Zemach Israpet Agricultural Cooperative Society Ltd., Company No. 570060798, whose registered office is at Ofir 9 Haifa ("the Company", "we").

The use of the website, including browsing the product catalog and placing orders by business customers, is subject to the conditions detailed below ("Terms of Use"). The mere use of the site constitutes full agreement on your part to the terms of use. If you do not agree to the terms, please refrain from using the site.

1. The nature of the website and its purpose
1.1 The website serves as an online catalog for the company's products.  
1.2 For the general public (end consumer) the site is intended for information only: presentation of products, descriptions and images - **no purchase option and no presentation of prices**.  
1.3 Placing orders and displaying prices on the website are **only** possible for registered business customers (stores/distributors, etc.), who have a customer account approved in advance by the company.  
1.4 It is clarified that the website is not an online store for the final consumer and is not intended for "consumer" as defined in the Consumer Protection Law, 1981. Every transaction on the website is a commercial-business transaction (B2B).

2. Registration and business customers
2.1 In order to view prices and place orders on the website, you must be a business customer of the company, with an authorized dealer number/Company No. valid, and receive a username and password from the company.  
2.2 The company may approve or reject a request to join at its sole discretion, as well as block or cancel a customer account in case of violation of the terms of use, provision of false details or misuse of the website.  
2.3 You are solely responsible for keeping the username and password confidential.

3. Website information and data accuracy
3.1 The company makes reasonable efforts to update the information on the website regularly. However, there may be errors and/or inaccuracies in good faith in the information, images, descriptions or other details, and they do not bind the company.  
3.2 The images on the website are for illustration purposes only. There may be differences between the appearance of the product in the picture and the actual product (colors, packaging, etc.).  
3.3 The company may, at any time and without prior notice, change the products, descriptions, packaging, sizes, specifications, etc.

4. Prices and commercial aspects
4.1 The prices displayed on the website for business customers **do not include VAT**, unless specifically stated otherwise. The VAT will be added to the price at the time of billing according to the legal VAT rate at the time of the transaction.  
4.2 The prices, payment terms and delivery terms of each customer are determined within the framework of the commercial agreements between the company and that customer (for example: framework agreements, customer opening forms, price offers, etc.), and are those that will be binding between the parties.  
4.3 All information on the website regarding prices, shipping fees, promotions, etc. is for convenience purposes only and does not override the written commercial agreement agreed upon with each customer. In case of contradiction - the terms of the specific agreement will prevail.  
4.4 The company may update prices and routes from time to time. Such an update will not affect transactions that have already been approved and actually made.

5. Making orders on the website
5.1 Orders on the website can only be made by registered business customers, in accordance with the credit limit and/or payment terms agreed in advance with the company.  
5.2 An order on the website constitutes an offer by the customer to purchase the products. The actual confirmation of the order is subject to the company's approval, stock availability and compliance with the established credit and payment conditions.  
5.3 The company may not approve an order (full or partial), among other things, due to lack of stock, exceeding the credit limit, delay in payments, error in specifications, or any other reasonable reason.  
5.4 Delivery, delivery dates, minimum order, shipping fees and responsibility for transport - will be done **in accordance with the commercial agreements** between the company and each customer and/or according to specific delivery/order certificates.

6. Cancellations, returns and changes
6.1 Cancellation, return and credit policy in B2B transactions will be established and carried out in accordance with the commercial agreements between the company and the customer and in accordance with the applicable law.  
6.2 To the extent that the provisions of the Consumer Protection Law or any other cogent law apply to a particular transaction - the company will act according to the provisions of the law, to the extent and to the extent that it is binding only.  
6.3 Requests to change or cancel an order after its approval will be reviewed by the company, and their handling will be done according to the company's policy and only it will have the right to approve or reject such a request.

7. Warranty for products
7.1 The warranty for the products is subject to the manufacturer's instructions and the applicable law.  
7.2 The customer is responsible for storing, transporting and using the products in accordance with the manufacturer's instructions, the conditions for keeping the product and the law (including validity, temperature conditions, etc.).  
7.3 The company will not be held responsible for damages caused due to improper use, improper storage, combination with other products, or the transfer of the products to third parties.

8. Limitation of liability
8.1 The use of the website is at the sole responsibility of the user.  
8.2 The company will not be responsible for any direct, indirect, consequential, special or punitive damages, including loss of profits, loss of reputation, loss of data, etc., resulting from the use of the website or the inability to use it.  
8.3 In any case, if any liability of the company is established, this liability shall not exceed the amount of consideration actually paid by the customer for the products subject to the dispute.

9. Intellectual property
9.1 All intellectual property rights on the website - including texts, designs, logos, images, icons, databases, code and other content - belong to the company and/or third parties who have allowed it to use them.  
9.2 Do not copy, reproduce, distribute, translate, publish or make any commercial use of the site's contents without obtaining prior written permission from the company.

10.1 The use of the website is subject to the company's privacy policy, which is an integral part of these terms of use.  
10.2 The company may save and process data on customers in accordance with the law, for the purpose of managing the business relationship, processing orders, managing accounts, improving the service and marketing mailings for businesses, subject to their consent.

11. Marketing mailing for businesses
11.1 Delivery of contact information by the business customer constitutes consent to receive marketing messages from the company (email, SMS, WhatsApp and more), subject to the law.  
11.2 You can request removal from the mailing lists at any time, in accordance with the provisions of the law.

12. Changes to the website and terms of use
12.1 The company may update the website, products, information and terms of use at any time, at its sole discretion.  
12.2 The binding version of the terms of use is the one published on the website at the time of use.

13. Law and judgment
13.1 The laws of the State of Israel shall apply to these terms of use only.  
13.2 The exclusive jurisdiction in any dispute concerning the site and/or these terms of use shall be the competent courts in the region [for example: Tel-Aviv-Jaffa].
